Our goal is to grow our business and cash flow to the benefit of our unitholders from:

  • Increased cash flow from our general partner interest in APL;
  • Increased cash flow from our general partner interest in ARP;
  • Ownership interests in Lightfoot Capital Partners, L.P.

Atlas Energy, L.P. (“Atlas Energy” – NYSE: ATLS) is a publicly-traded master limited partnership (“MLP”).

 

Atlas Energy owns the general partner of Atlas Resource Partners, L.P. ( “ARP” – NYSE: ARP), active in oil and gas production in the Barnett Shale (TX), the Appalachian Basin, the Raton Basin (NM), the Black Warrior Basin (AL), and the Mississippi Lime (OK), as well as the leading sponsor of tax advantaged direct investment oil and gas partnerships. Atlas Energy also owns the general partner of Atlas Pipeline Partners, L.P. (“APL” – NYSE: APL), a midstream energy service provider engaged in the gathering and processing of natural gas in the Mid-Continent region of the U.S., namely in Oklahoma and Texas.

 

Atlas Energy, L.P. owns the following assets and investment interests:

  • Ownership of the general partner of ARP, which consists of a 2.0% general partner interest as well as 100% ownership of the incentive distribution rights in ARP. These incentive distribution rights entitle ATLS to receive an increasing portion of any cash distributed by ARP as it reaches certain target levels in excess of $0.46 per ARP common unit in any quarter. ATLS also owns over 20.96 million common units of ARP, or approximately 37% of the outstanding ARP common units;
  • Ownership of the general partner of APL, which consists of a 2.0% general partner interest as well as 100% ownership of the incentive distribution rights in APL. These incentive distribution rights entitle ATLS to receive an increasing portion of any cash distributed by APL as it reaches certain target levels in excess of $0.42 per APL common unit in any quarter. ATLS also owns over 5.75 million common units of APL, or approximately 6% of the outstanding APL common units;
  • Ownership interests in Lightfoot Capital Partners, L.P., which consists of 16% general partner interest and 12% limited partner interest in Lightfoot.
